Ziggle Baby Ltd: Terms and Conditions of Trade (2026)

Definitions and Jurisdiction

  • The Company: Ziggle Baby Ltd.
  • Registered Address: Orchard House, 7a Moor Lane, Wilmslow, Cheshire, SK9 6AG.
  • Office & Warehouse: Unit 4, Rupert Park, London Road South, Poynton, Cheshire, SK12 1PQ.
  • The Buyer: The person or company purchasing goods for trade purposes.
  • English Law: Every contract shall be governed by the laws of England. Both parties submit irrevocably to the jurisdiction of the English Courts.

Account Terms and Eligibility

  • New Accounts: Required to spend £150 on their first order.
  • Marketplace Restrictions: We do not supply businesses operating solely on marketplaces (e.g., Amazon, eBay). Your website must not sit within or alongside Amazon without prior written approval.
  • Proof of Retail: We reserve the right to refuse sale to those who cannot provide proof of a physical shop or a dedicated retail website.
  • Formation of Contract: The contract is entered into upon our email order confirmation.

Brand Representation & Intellectual Property (IP)

  • Brand Standards: The latest brand logos, images, and descriptions must be used. Websites must indicate real-time stock availability where possible.
  • Limited License: Ziggle grants a non-exclusive, revocable license to use brand imagery and trademarks solely to sell Ziggle products. This license is revoked immediately upon account termination, and all digital/physical assets must be removed within 48 hours.
  • Image Integrity: Official images must not be edited, filtered, or watermarked.
  • Social Media: Customers must credit Ziggle (@ZiggleUK) when using brand assets on social media and must not imply a partnership beyond a standard stockist relationship.
  • Product Condition: Goods must be sold in their original, unopened packaging. Re-packaging or “white-labelling” is strictly prohibited.

Minimum Advertised Price (MAP) Policy

  • Reputation Protection: We reserve the right to cease supply to any retailer whose trading methods (e.g., excessive price cutting) damage the brand’s reputation.
  • The MAP: To maintain brand equity, the Buyer agrees not to publicly advertise Ziggle products at a price lower than the current Recommended Retail Price (RRP) minus 20%, as specified in the official Ziggle Trade Price List.
  • Scope: This applies to all public-facing digital and print media. It does not apply to the final price “in-cart” or at checkout.

Price and Payment

  • Payment Terms: Proforma payment is required via card or bank transfer unless a credit account is agreed upon in writing.
  • No Set-Off: The buyer shall not withhold payment due to disputed claims or faulty goods. Disputed items must be settled via the formal returns process.
  • Late Payment: We exercise the statutory right to claim interest at 2% per month plus debt recovery costs for overdue payments.
  • Refunds: Processed via the original payment method. For bank transfers or credit accounts, a credit note will be issued for use on the next order.

Delivery, Carriage, and Risk

  • Carriage-Paid Thresholds: * Mainland GB: Orders over £150.
    • NI & Ireland: Orders over £200 / €250.
  • Timeframe: Goods typically arrive within 48 hours of dispatch notification. Time is not of the essence in relation to delivery dates. The company does not facilitate deliveries on weekends.
  • International Shipping: Costs vary; contact customercare@ziggle.co.uk for quotes.
  • Transfer of Risk: Risk of damage or loss passes to the buyer at the time of delivery.
  • Failed Delivery: If a buyer refuses delivery or is unavailable, return carriage and storage costs are at the buyer’s expense and risk. The buyer is responsible for re-delivery charges or a 15% re-stocking fee if the order is cancelled following a failed delivery.

Shortages, Defects, and Returns

  • Reporting Window: Buyers must inspect stock immediately upon arrival. Notifications for shortages, incorrect items, or defects must be made in writing within 7 days of delivery or dispatch.
  • Deemed Acceptance: If no notification is received within one week, the buyer is deemed to have accepted the goods in good condition.
  • Faults & Process: Returns are only accepted for genuine faults. Email a description and images to customercare@ziggle.co.uk before returning items. Unauthorized returns incur a 15% re-stocking fee.

Display Stand Terms & Conditions

  • Ownership: The display stand remains the sole property of Ziggle Baby Ltd at all times.
  • Exclusive Use: The stand is to be used exclusively for Ziggle Baby Ltd merchandise and must remain fully stocked. It must be maintained with correct header boards and hooks.

*Minimum top-up values for NI are £200 and for Ireland are €250.

  • Removal & Return: Ziggle reserves the right to remove the stand if it is not being fully utilised. Upon request, the stand, hooks, and header must be returned to the Poynton warehouse. The Buyer is responsible for the full cost of return carriage.

Cancellations, Liability, and Waivers

  • Cancellations: Must be in writing. Subject to a 15% fee of the total order value.
  • Liability Cap: Liability for defective goods shall not exceed the invoice value of said goods. Ziggle is not liable for indirect or consequential loss of profit.
  • Manufacturer Waiver: The Buyer indemnifies Ziggle against any claims arising from the Buyer’s failure to communicate safety warnings or usage instructions provided with the products.
  • Force Majeure: The Company is not liable for delays caused by circumstances beyond its reasonable control (e.g., severe weather, strikes, or material shortages).
